WINTERTIDE VENTURES ANNOUNCES RESULTS OF ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS
September 21, 2021 – Vancouver, British Columbia – Wintertide Ventures Inc. (the “Company”) announces that Robert B. Price, Ian Telfer, Gordon Keep and Robert Johnston were elected as directors of the Company at the Annual General and Special Meeting of shareholders (the “Meeting”) held on September 21, 2021. Scott Davis, Gordon Friesen and Allan Glowach did not stand for re- election to the board of directors at the Meeting. The board of directors thanks Messrs. Davis, Friesen and Glowach for their valuable contributions to the Company.
Following the Meeting, the reconstituted board of directors of the Company appointed Robert B. Price as Chief Executive Officer, Szascha Lim as Chief Financial Officer and Kia Russell as Corporate Secretary.
At the Meeting, shareholders reappointed the existing auditor of the Company, approved the adoption of a new incentive stock option plan, and approved the amended and restated articles of the Company revising the quorum requirements for shareholder meetings.
Shareholders also ratified the share purchase agreement among the Company, Brooks Range Corporation and Brooks Energy Company and approved the acquisition of all the issued and outstanding shares of Brooks Range Corporation as described in the Company’s news release dated August 9, 2021.
