(the “Agent”) to act as the sole agent and bookrunner in connection with a private placement offering of up to 15,000,000 units of the Company (each, a “Unit”) at a price of $0.10 per Unit for gross proceeds to the Company of up to $1,500,000 (the “Offering”).
